Terms of Service

Please read these terms carefully before using HALOFIX USA. They explain your rights, our responsibilities, and how we work together to connect Florida Residents with licensed Heroes.

1. Who We Are

HALOFIX USA LLC ("HALOFIX," "we," "us," or "our") is a Florida-based marketplace platform that connects homeowners with independent, licensed heroes for home services. We are headquartered in Florida and operate exclusively within the state.

Important Legal Notice

HALOFIX IS NOT A HERO. We do not perform home services ourselves. We are a technology platform that facilitates connections between homeowners and independent heroes. Any work performed is done by licensed third-party heroes, not by HALOFIX USA LLC.

2. Eligibility

To use HALOFIX USA, you must:

  • Be at least 18 years old
  • Be a legal resident of the State of Florida
  • Have the legal capacity to enter into binding contracts
  • Provide accurate, complete, and current information when creating an account
  • Maintain only one account per person

By using our platform, you represent and warrant that you meet all of these requirements. If you create an account on behalf of a business, you represent that you have authority to bind that business to these terms.

3. Services Description

HALOFIX USA provides the following services:

  • Booking Platform: A system for requesting and scheduling home services with licensed heroes
  • Hero Matching: Algorithm-based matching of your service needs with available, verified heroes
  • Communication Tools: Messaging and calling features to coordinate with heroes
  • Payment Processing: Secure handling of payments between homeowners and heroes via Stripe
  • Service Tracking: Real-time updates on hero arrival and job status
  • AI Estimates: Approximate cost estimates based on photos and descriptions you provide

We do not guarantee hero availability, specific completion times, or that a hero will accept your booking request. Our platform provides the tools; heroes independently decide which jobs to accept.

4. User Responsibilities

As a HALOFIX user, you agree to:

  • Provide accurate information about your service needs
  • Be present or make arrangements for hero access during scheduled appointments
  • Maintain a safe working environment and disclose any known hazards
  • Pay for services as agreed upon booking
  • Communicate respectfully with heroes and HALOFIX staff
  • Report any issues, damages, or disputes promptly through our platform
  • Not use the platform for illegal purposes or to solicit unlicensed work

You are responsible for ensuring that any work requested complies with local building codes, HOA regulations, and permit requirements where applicable.

5. Hero Responsibilities

Heroes using our platform are independently licensed professionals who agree to:

  • Maintain all required state and local licenses and insurance
  • Perform work in accordance with Florida building codes and industry standards
  • Honor quoted prices and complete work as described
  • Communicate professionally and arrive within scheduled timeframes
  • Carry appropriate liability and workers' compensation insurance
  • Report license status changes to HALOFIX within 5 business days

Independent Hero Relationship

Heroes are independent third-party professionals, not employees, agents, joint venturers, or partners of HALOFIX USA LLC. Heroes operate their own independent businesses, set their own schedules, may work through multiple platforms or serve clients directly, and are solely responsible for the manner and method of performing their services. HALOFIX verifies licenses at onboarding but does not supervise, control, or direct the work performed by Heroes. HALOFIX is not liable for the quality, timeliness, safety, legality, or outcome of any work performed by Hero professionals.

6. Payment Terms

Pricing: Prices displayed on our platform include:

  • The hero's service fee
  • A platform commission retained by HALOFIX
  • Applicable Florida sales tax

Payment Processing: All payments are processed securely through Stripe, our payment processor. We do not store full credit card numbers on our servers.

Authorization: When you book a service, you authorize us to charge your payment method for the quoted amount plus any applicable taxes and fees.

Refunds: Refunds are processed according to our Cancellation Policy below. Approved refunds are typically processed within 5-10 business days and will appear in your account within 3-5 additional business days depending on your bank.

7. Cancellation Policy

Your Right to Cancel: Under the FTC's Cooling-Off Rule (16 CFR Part 429) and Florida's Home Solicitation Sales Act (Fla. Stat. §501.021), you have the right to cancel most home service contracts within 3 business days of booking without penalty.

How to Cancel

Cancellation Fees:

  • Within 3 business days of booking: Full refund, no fees
  • More than 24 hours before appointment: Full refund
  • Less than 24 hours before appointment: $35 cancellation fee may apply
  • After hero has been dispatched: Trip fee ($35) is non-refundable

We will send you a cancellation notice with your booking confirmation explaining these rights in detail.

8. AI Estimate Disclaimer

Approximate Pricing Only

Our AI-powered estimates are generated based on photos and descriptions you provide. These estimates are approximate only and may not reflect the final actual cost. Actual pricing can only be determined after an on-site inspection by a licensed hero.

Important limitations of AI estimates:

  • The AI cannot detect hidden damage, code violations, or structural issues
  • Final quotes may vary based on actual conditions, material costs, and labor requirements
  • Heroes are not bound by AI estimates when providing their actual quotes
  • You will always receive a firm quote from the hero before work begins

By using our AI estimate feature, you acknowledge that the estimate is for informational purposes only and does not constitute a binding quote or contract.

9. SMS Communications & Consent

HALOFIX USA LLC may send you transactional SMS (text) messages to the phone number you provide during booking. By completing a booking on our platform and checking the SMS consent checkbox, you expressly consent to receive the following types of text messages:

  • Booking confirmations with service details
  • Appointment reminders and schedule updates
  • Technician dispatch notifications with live tracking links
  • Service completion notifications
  • Payment receipts and invoice delivery
  • Warranty information delivery

Important SMS Terms:

  • Message frequency varies based on your bookings and service activity
  • Message and data rates may apply depending on your carrier and plan
  • SMS consent is not required as a condition of purchasing any service
  • You may opt out at any time by replying STOP to any message
  • For help, reply HELP or contact support@halofixusa.com
  • We will not share your phone number with third parties for marketing
  • Carriers are not liable for delayed or undelivered messages

If you separately opt in to receive promotional communications,HALOFIX USA LLC may send promotional SMS messages including seasonal maintenance reminders, exclusive discounts, and warranty renewal offers. Promotional SMS consent is optional and separate from transactional SMS consent.

SMS Opt-Out Notice

You can cancel SMS messages at any time. Just text STOP to any message from HALOFIX. After opting out, you will receive one final confirmation message. You will still receive service-related communications via email.

10. Warranty Terms

HALOFIX-Backed Workmanship Warranty: Every job booked through HALOFIX comes with our workmanship warranty:

  • Coverage: Defects in workmanship for work performed by HALOFIX heroes
  • Duration: 1 year from the date of service completion
  • What's Covered: Labor-related defects where the work does not meet industry standards
  • What's Not Covered: Normal wear and tear, damage from misuse, manufacturer defects in materials, or issues caused by subsequent modifications

How to File a Warranty Claim:

  1. Log into your HALOFIX dashboard and navigate to Service History
  2. Select the job and click "File Warranty Claim"
  3. Describe the issue and upload photos if applicable
  4. We will respond within 2 business days

If a claim is approved, we will coordinate with the original hero or a replacement hero to remedy the defect at no additional cost to you. Warranty documents are stored in your Warranty Vault for 7 years.

Important Disclaimer: HALOFIX facilitates dispute resolution and warranty coordination between you and your Hero professional. HALOFIX does not perform home services directly and is not liable for the quality, timeliness, or outcome of work performed by independent Hero contractors. Service timelines referenced on our platform, including dispatch and booking estimates, are typical timeframes subject to Hero availability in your area and are not guaranteed.

11. Prohibited Uses

You may not use HALOFIX USA to:

  • Violate any local, state, or federal laws
  • Request or perform work that requires a license without proper credentials
  • Harass, threaten, or discriminate against heroes, staff, or other users
  • Post false, misleading, or fraudulent information
  • Attempt to circumvent our platform to avoid fees (fee avoidance)
  • Interfere with the platform's security features or probe for vulnerabilities
  • Use automated systems (bots, scrapers) to access the platform
  • Resell, sublicense, or commercially exploit platform access without authorization

Violation of these prohibitions may result in immediate account termination, forfeiture of any pending payments, and potential legal action.

12. Disclaimer of Warranties

Important — Please Read Carefully

THE HALOFIX PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HALOFIX USA LLC EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, HALOFIX does not warrant or represent that:

  • The platform will be uninterrupted, timely, secure, or error-free
  • The results obtained from use of the platform will be accurate or reliable
  • Any Hero will accept your booking request or complete work to your satisfaction
  • AI-generated estimates, pricing, or recommendations will accurately reflect actual costs or conditions
  • Any defects in the platform will be corrected within a specific timeframe

HALOFIX does not endorse, guarantee, or assume responsibility for any service advertised or offered by Heroes through the platform. HALOFIX is a technology marketplace and does not inspect, supervise, or control the work performed by independent Hero professionals.

13. Limitation of Liability

To the maximum extent permitted by law, HALOFIX USA LLC and its officers, directors, employees, and agents shall not be liable for:

  • Any direct, indirect, incidental, special, consequential, or punitive damages
  • Damages arising from hero performance, delays, or failure to complete work
  • Property damage or personal injury occurring during service delivery
  • Loss of profits, data, or business opportunities
  • Damages exceeding the total amount you paid for the specific service giving rise to the claim

These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability) and even if we were advised of the possibility of such damages.

Insurance Recommendation: We strongly recommend that homeowners maintain appropriate homeowners insurance and that heroes maintain adequate general liability and workers' compensation insurance. HALOFIX is not an insurer and does not provide insurance coverage.

14. Indemnification

You agree to indemnify, defend, and hold harmless HALOFIX USA LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the platform or any services obtained through the platform
  • Your violation of these Terms of Service or any applicable law or regulation
  • Your violation of any rights of a third party, including any Hero, other user, or property owner
  • Any content, information, or materials you submit or transmit through the platform
  • Any property damage or personal injury arising from services performed at your property, except to the extent caused by HALOFIX's sole negligence

This indemnification obligation will survive the termination of your account and these Terms of Service.

15. Assumption of Risk

You acknowledge and agree that the use of home services involves inherent risks, including but not limited to property damage, personal injury, water damage, electrical hazards, and structural issues. By using the HALOFIX platform to book home services, you voluntarily assume all risks associated with such services.

You understand that HALOFIX does not perform home services and has no control over the quality, safety, legality, or any other aspect of the services provided by independent Hero professionals. You agree to exercise your own judgment in evaluating and selecting Heroes and in overseeing any work performed at your property.

You are responsible for verifying that all work performed complies with applicable building codes, HOA requirements, and permit obligations. HALOFIX does not verify code compliance for individual jobs.

16. Dispute Resolution

Governing Law: These Terms of Service are governed by the laws of the State of Florida, without regard to conflict of law principles.

Jurisdiction: Any legal action or proceeding arising from these terms shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida. You consent to the personal jurisdiction and venue of these courts.

Informal Resolution First: Before filing any legal action, you agree to attempt to resolve disputes informally by contacting us at disputes@halofixusa.com. We will make good faith efforts to resolve the issue within 30 days.

Class Action Waiver: You agree that any proceedings will be conducted only on an individual basis and not as a class action, consolidated action, or representative action. You are waiving your right to participate in a class action lawsuit or class-wide arbitration.

FDUTPA Safe Harbor: In accordance with Florida Statutes § 501.211(11), if you believe any practice of HALOFIX USA LLC may violate the Florida Deceptive and Unfair Trade Practices Act, you must provide written notice to HALOFIX USA LLC at 7901 4th St N, Ste 300, St. Petersburg, FL 33702, specifying the alleged violation. HALOFIX USA LLC shall have thirty (30) days from receipt of such notice to cure the alleged violation before any legal action may be filed under FDUTPA.

17. Force Majeure

HALOFIX shall not be liable for any failure or delay in performance of its obligations under these Terms resulting from causes beyond its reasonable control, including but not limited to: acts of God, natural disasters (including hurricanes, floods, and tropical storms common to the State of Florida), pandemics, epidemics, government orders or restrictions, power outages, internet service interruptions, acts of terrorism, labor disputes, or failures of third-party service providers (including but not limited to Stripe, Supabase, Twilio, and Vercel).

During any state of emergency declared by the Governor of Florida, HALOFIX may temporarily suspend certain platform features, freeze pricing at pre-emergency levels in compliance with Florida Statutes § 501.160, or limit service availability to essential emergency repairs. HALOFIX will use commercially reasonable efforts to notify users of any such changes.

18. Intellectual Property

The HALOFIX platform, including its name, logos, software, design, text, graphics, interfaces, and all other content and materials ("HALOFIX Content"), is the exclusive property ofHALOFIX USA LLC and is protected by United States and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the platform for personal, non-commercial purposes in accordance with these Terms. You may not:

  • Copy, modify, distribute, sell, or lease any part of the platform or HALOFIX Content
  • Reverse engineer or attempt to extract the source code of our software
  • Use any HALOFIX trademarks, logos, or branding without prior written consent
  • Frame, mirror, or create derivative works based on the platform
  • Use data mining, robots, or similar data gathering tools on the platform

By submitting photos, descriptions, reviews, or other content to the platform ("User Content"), you grant HALOFIX a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of operating and improving the platform. You retain ownership of your User Content.

19. Changes to Terms

We may update these Terms of Service from time to time to reflect changes in our services, legal requirements, or business practices. When we make material changes:

  • We will post the updated terms on this page with a new "Last updated" date
  • We will notify you via email or through the platform at least 30 days before material changes take effect
  • Your continued use of the platform after the effective date constitutes acceptance of the updated terms

If you do not agree to the updated terms, you must stop using the platform and close your account before the changes take effect.

20. General Provisions

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

Entire Agreement: These Terms of Service, together with our Privacy Policy, Consumer Rights, and any additional terms agreed upon during booking, constitute the entire agreement between you and HALOFIX USA LLC regarding your use of the platform. These Terms supersede all prior agreements, representations, and understandings between the parties, whether written or oral.

Waiver: The failure of HALOFIX to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by HALOFIX USA LLC.

Assignment: You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, without our prior written consent. HALOFIX may assign these Terms at any time without notice to you in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets.

Time Limitation on Claims: You agree that any claim arising out of or related to these Terms or your use of the platform must be filed within one (1) year after the cause of action accrues. Any claim filed after this period is permanently barred. This limitation applies to the fullest extent permitted by applicable law.

Notices: HALOFIX may provide notices to you via email to the address associated with your account, through the platform interface, or by posting on the platform. Notices from you to HALOFIX must be sent to legal@halofixusa.com or by mail to our address listed below. Notices are deemed received upon sending (for email) or three (3) business days after mailing (for postal mail).

Headings: The section headings in these Terms are for convenience only and have no legal or contractual effect.
