Partner Terms of Service

These Partner Terms of Service (the “Partner Terms”) govern your participation as a Partner on the HALOFIX USAplatform operated by HALOFIX USA LLC (“HALOFIX USA,” “we,” “us,” or “our”).

These Partner Terms are supplemental to and incorporated by reference with the full HALOFIX USA Partner Affiliate Agreement, which contains the complete legal terms governing the Partner-platform relationship including independent contractor status, indemnification, arbitration, class action waiver, W-9 / 1099 acknowledgement, and Florida-specific compliance.

In the event of any conflict between these Partner Terms and the Partner Affiliate Agreement, the Partner Affiliate Agreement controls.

To register and participate as a Partner, you must:

• Be at least 18 years of age and have legal capacity to contract
• Provide a current and correct IRS Form W-9 (Rev. March 2024 or current revision) before your first payout
• Comply with all federal and state laws governing your referral activity, including TCPA (47 U.S.C. §227), the Florida Telephone Solicitation Act (FL Stat. §501.059), and CAN-SPAM (15 U.S.C. §§7701-7713)
• Complete Partner registration and accept these Partner Terms, the Partner Privacy Policy, and the Partner Affiliate Agreement

By providing your phone number and checking the SMS consent box during Partner registration, you agree to receive operational SMS messages from HALOFIX USA LLC related to your Partner activity on the HALOFIX USA platform.

Operational Partner SMS includes:

• One-Time Password (OTP) verification codes
• Forgot OTP / OTP resend
• Commission withdrawal confirmations
• Account security alerts (new device, payout method change)

Frequency: Typical active Partners receive 1–5 operational SMS per week.

Opt-out: Reply STOP to any SMS to opt out immediately. Reply HELP for help. You can also email partners@halofixusa.com or call (786) 550-2580.

Carrier rates: Message and data rates may apply. Supported carriers include AT&T, T-Mobile, Verizon, and Sprint.

Mobile data non-sharing: HALOFIX USA LLC will never share Partner phone numbers or SMS opt-in data with third parties or affiliates for marketing or promotional purposes.

Your referral activity must comply with Section 5 (Prohibited Practices) of the Partner Affiliate Agreement. In particular, you may not:

• Send unsolicited SMS, calls, or emails to drive referrals
• Bid on HALOFIX-branded keywords in paid search
• Use cookie stuffing, fake referrals, or self-referral
• Misrepresent HALOFIX USA services, pricing, or warranties
• Use HALOFIX USA trademarks beyond fair-use referral context

Breach of these rules is grounds for immediate suspension and forfeiture of unpaid commissions.

Commissions are paid via Stripe Connect ACH after the 14-day Resident refund window has expired. You will provide a current W-9 before your first payout.

HALOFIX USA will issue IRS Form 1099-K if your annual marketplace earnings exceed both $20,000 and 200 transactions (OBBBA §70432, retroactive to TY2022). For non-marketplace direct payments, HALOFIX USA will issue IRS Form 1099-NEC if annual aggregate exceeds $2,000 (OBBBA §70433 amendment to IRC §6041(a), effective for payments after 12/31/2025). If your W-9 is missing or invalid, 24% backup withholding applies per IRC §3406.

You are solely responsible for reporting all commission income to federal, state, and local tax authorities.

SMS opt-out (Reply STOP) does not terminate your Partner account. You remain a Partner on the platform and continue to receive transactional emails for OTP and payout confirmations.

Account termination is governed by Section 7 of the Partner Affiliate Agreement. Either party may terminate on 7 days' written notice.
